Terms of Service

The agreement for using ChiefOS.

These terms govern access to and use of the ChiefOS website and services. This is a general-purpose template and should be reviewed by counsel before production use.

Acceptance of terms

By accessing or using the ChiefOS website, demo, or workspace (the "Services"), you agree to these Terms of Service. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Services.

Eligibility and accounts

The Services are intended for business use by individuals who are at least 16 years old. Production access is invite-only during provisioning. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials and authentication factors, and for all activity under your account.

License and acceptable use

Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. You agree not to:

  • Reverse engineer, resell, or provide the Services to third parties except as permitted.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or other tenants.
  • Upload unlawful, infringing, or malicious content, or violate anyone's rights.
  • Use the Services to make automated decisions without the human review the product requires.

Customer content and ownership

You retain all rights to the content your organization connects or creates in the workspace ("Customer Content"). You grant us the limited rights needed to host, process, and secure the Customer Content to provide the Services. We do not use Customer Content to train models, and we do not sell it. As between the parties, we own the Services, software, and all related intellectual property.

AI outputs and human decisions

ChiefOS produces briefs, recommendations, evaluations, and draft actions using AI. Outputs may be incomplete or incorrect and are provided to support—not replace—human judgment. Every consequential decision and every external action requires human review and approval. You are responsible for decisions made and actions approved through the Services.

Demo and beta features

Demo workspaces use synthetic data, short-lived sessions, and single-use access codes, and may change or be withdrawn at any time. Features labeled demo, preview, or beta are provided "as is" for evaluation, may be unstable, and are excluded from any service commitments.

Third-party services

The Services integrate with third-party providers (for example, identity, email, payments, analytics, and model providers). Your use of those integrations may be subject to the third party's terms, and we are not responsible for third-party services. You are responsible for any accounts and credentials you connect.

Fees and billing

Paid plans are billed through our payment processor using hosted checkout; we do not store card details. Fees are stated at purchase, are non-refundable except as required by law or expressly stated, and may change on renewal with notice. You are responsible for applicable taxes. Non-payment may result in suspension or termination.

Feedback

If you provide suggestions or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these terms, create risk or legal exposure, or fail to pay. On termination, your right to use the Services ends; Customer Content is retained per your agreement and then deleted or de-identified after the defined recovery window.

Disclaimer of warranties

Except where prohibited by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or related to the Services will not exceed the amounts you paid us for the Services in the twelve months before the event giving rise to the claim.

Indemnification

You will defend and indemnify ChiefOS against third-party claims arising from your Customer Content, your use of the Services in violation of these terms, or your violation of law or the rights of a third party, subject to reasonable notice and cooperation.

Governing law and changes

These terms are governed by the laws of the jurisdiction stated in your order or, if none, the jurisdiction of our principal place of business, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of that jurisdiction. We may update these terms; material changes will be posted with a new effective date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
